For the implementation of the service of clearing the project entitled "360 DATA - Using machine learning (ML) and artificial intelligence (AI) to increase the availability

and efficient use of public sports facilities".



The contract for the task was concluded within the framework of the project "New Promised Land Seed Fund" co-financed from the Operational Program Intelligent Development 2014-2020 Measure 1.3: R&D works financed with capital funds Sub-measure 1.3.1:Support for R&D Projects in the Preseed Phase by Proof of Concept Funds - BRIdge Alpha

and Investment ASI RDS Fund Sp. z o.o S.K."


Data Spike Limited Liability Company is a portfolio company of ASI RDS Fund Sp. z o.o. S.K. managed by RDS Fund Sp. z o.o.


1. The purchaser

2. Subject matter

The subject of the order includes comprehensive management of the project in terms of the settlement of the project with the Funding Authority and during the period of its sustainability, taking into account the provisions of the agreement concluded with NCBiR and the investment agreement.


3. Detailed description of the subject matter of the contract

The subject of the contract is the coordination and monitoring of the implementation and settlement of the project titled "360 DATA - Use of Machine Learning (ML) and Artificial Intelligence (AI)

to increase accessibility and efficient use of public sports facilities" along with the development of documentation necessary for the proper settlement of the project resulting from the guidelines, including activities required by the grant agreement and investment agreement

  1. Monitor and strive to achieve the objectives and indicators established in the Project Execution Plan (hereinafter PRP) by the Employer;
  2. Monitor the project in the context of implementation in the PRP,
  3. Implementation of the subject matter of this agreement using the necessary document forms for reporting,
  4. Preparation of reporting documents in accordance with the approved schedule,
  5. Making necessary corrections in all documents,
  6. Verification of the correctness of the disbursed funds subject to funding,
  7. Preparation of requests for proposals and operation of the competitiveness database in accordance with the Guidelines for Eligibility of Expenses,
  8. Preparation of documentation in Polish and English,
  9. Maintain documentation of bidding procedures with contracts for suppliers and subcontractors,
  10. Conducting project promotion in accordance with the Guidelines,
  11. Maintain project records, including records related to project personnel,
  12. Perform ongoing activities leading to the proper implementation of the project in accordance with the objectives indicated in the grant application,
  13. Coordinate the project audit process and monitoring for reporting;
  14. Reporting of the project during the sustainability period, including supervision of the implementation of intellectual property protection in the Employer's enterprise,
  15. Contact with financing institutions on behalf of the Principal,
  16. Participation in the inspection of representatives of the IP at the headquarters or site of the Employer's project,
  17. The Contractor, as part of the implementation of the provisions of this agreement, undertakes to develop additional expert reports, specialized analyses and documents indicated in the application for funding

4 Conditions for participation in the proceedings and a description of how they will be fulfilled

The request for proposal is addressed to entities actively conducting business, i.e. natural persons, organizational units with legal capacity or legal persons conducting business (verified by inspection of CEIDG/KRS). Contractors who have the necessary knowledge and experience to execute the contract may apply for the award in particular:

  1. Contractors participating in the proceedings must be in an economic and financial position to ensure timely and compliant performance of the contract
  2. Contractors participating in the proceedings must have the necessary knowledge and experience, as well as technical potential, and have people capable of performing the Order and the authorization to carry out certain activities if required by law
  3. Contractors participating in the proceedings must have knowledge of managing projects co-financed by the European Union.

If the Contractor/Tenderer fails to meet even one of the above conditions, he will be excluded and his bid rejected.


In order to confirm the fulfillment of the above conditions for participation in the proceedings, the Contractor/Tenderer:

  • In order to confirmContractorin an economic and financial position to ensure timely and compliant execution of the order, has the necessary knowledge and experience, and technical potential, as well as has at his disposal people capable to execute the Order and has the authorization to perform a certain activity, if required by law, the Contracting Authority requires the Contractor to submit with his offer a statement of compliance with the above conditions of participation in the proceedings.
  • In order to confirm the necessary knowledge and experience - the Contractor must demonstrate experience at the level of implementation of a minimum of 3 orders for the last 3 years consisting of settlement of projects co-financed from European Union funds, the implementation of these projects must be completed within the last three years.

7 Deadline and requirements for submission of bids

Bids should be submitted electronically, by mail or in person at the company's headquarters:

Deadline for submission of bids: until 25/10/2022.

The bid should be submitted in Polish.

The bid should be signed by persons authorized to sign the bid in accordance with current registration documents or a power of attorney granted.

The offer should include the name, address or registered office of the bidder, e-mail address, telephone number, Tax ID, Regon number, KRS or registration number from CEIDG.

Contractors/Bidders who are not in bankruptcy or liquidation at the time of submitting their bids and declare this in the body of their bids may compete for the contract.

Bids should be submitted in PLN with the total net and gross price.

The Contractor/Tenderer shall specify for the offered service, taking into account its full scope, the resulting costs for its performance.

All costs associated with submitting a bid shall be borne by the bidder.



8 Period of performance of the subject of the bid:

The service will be provided for a period of 14 months, i.e. from 01.11.2022 to 31.12.2023.



9 Bid selection criteria

In selecting and evaluating bids considered valid and submitted by Contractors deemed

to meet the conditions for participation in the proceedings, the Contracting Authority will be guided by the following criteria:

The maximum number of points that can be received:

1. bid price 100% - 100 points.

Evaluation rules for the criterion "Offer price" [C].

The number of points to be awarded under the above criterion will be calculated by dividing the price of the cheapest offer (gross) by the price of the researched offer (gross) and multiplying the number so obtained by the maximum number of points, which for this criterion is set at 100, according to the formula:

C = (C min / C b) x 100

Where:

C - the number of awarded bid points resulting from the price criterion,

C min - the price of the cheapest bid,

C b - the price of the tested offer,

The maximum number of points to be obtained for the price criterion - 100 points.

The indicated price of the tested bid (Cb) to be taken into account in scoring and evaluating the bid is the total gross price indicated in the bid for the execution of the entire order (gross bid price), according to the contents of the detailed description of the subject matter of the order.


10 Conditions for signing the contract:

  1. The Procuring Entity reserves the right to cancel the request for quotation without giving any reason, as well as to leave the proceedings without selecting a bid.
  2. Submission of a bid by a Contractor does not constitute the conclusion of a contract.

11 Conditions for amending the contract:

  1. The Ordering Party provides for the possibility of amending the contract if there is a change in generally applicable laws in the scope affecting the implementation of the subject of the contract.
  2. The Ordering Party provides for the possibility of amending the contract in terms of extending the contract execution date in case of fortuitous events or for reasons beyond the Ordering Party and the Contractor.
  3. Amendments and additions to the contract may be made only in writing under pain of nullity. The parties may not invoke extra-contractual arrangements.
  4. The contracting authority allows significant changes to the provisions of the contract in the following cases and specified scope:

a) the manner of performance of the subject matter of the contract due to the occurrence of circumstances that the Purchaser could not foresee, despite exercising due diligence;

b) changes in the scope and manner of performance of the subject matter of the contract in the event of changes in generally applicable laws to the extent affecting the performance of the contract;

c) changes in the scope and manner of performance of the subject matter of the agreement as a result of circumstances that could not be foreseen at the time of the conclusion of the agreement;

d) the value of the change does not exceed 50% of the value of contract originally specified in the contract.


12 Evaluation and selection of the most advantageous offer:

  1. The contracting authority will evaluate the bids in terms of formalities and compliance with this request for proposals.
  2. The bid will be rejected if:
  • was submitted after the deadline or in an incorrect manner, i.e., it was not submitted in the prescribed manner;
  • Is inconsistent with the requirements specified in the Request for Proposal;
  • Is not in compliance with applicable laws;
  • Is incomplete or will not contain all the documents or statements required by the Contracting Authority;
  • The contractor does not meet the conditions for participation in the proceedings and was excluded for this reason;

3 Contractors shall have no claim against the Contracting Authority for rejection of a bid.

4 The contracting authority does not provide for partial bids, variants and the award of supplementary contracts.


13 Other provisions

  1. The contracting authority reserves the right to cancel the proceedings for the following reasons:

a) no bid was submitted;

b) the price of the most favorable offer exceeds the amount that the Contracting Authority may allocate to finance the contract;

c) If the Contractor, whose bid was selected, evades the conclusion of the contract,

d) and the Contracting Authority decides not to select the most advantageous bid from among the remaining bids;

there has been a significant change of circumstances resulting in the fact that the conduct of the proceedings or the execution of the contract is not in the interest of the Contracting Authority, which could not have been foreseen earlier.

2.In the event that the selected Contractor withdraws from signing the contract with the Contracting Authority, it is possible for the Contracting Authority to sign a contract with the next Contractor, who in the proceedings obtained the next highest number of points.

3.The price is to be expressed in Polish zlotys including due VAT. The bid price is to be given to two decimal places (PLN/gr).

4.The bid price should cover the full scope of work specified in the request and include all costs associated with the execution of the subject of the contract.

5.The contractor will not be able to demand an increase in remuneration, even though the size or cost of these services could not be foreseen at the time the contract was concluded.

6.As a result of failure to take into account circumstances that may affect the price of the contract, the Contractor will bear the consequences of errors in the bid. The Contractor is required to study the subject matter of the request for quotation in detail, as well as to check the conditions for the execution of the contract and to calculate the bid price with due diligence.

7.The purchaser reserves the right to withdraw from the order without giving any reason and the possibility to negotiate the presented terms of cooperation.

8.The above inquiry does not constitute an offer within the meaning of the Civil Code. Submission of an inquiry, as well as receipt of an offer as a result of it is not tantamount to the award of an order (it does not have the effect of concluding a contract).

9.The Contractor declares that the subject matter of the Contract will be created by itself and will be its exclusive property and that it will hold full copyright to the subject matter of the Contract.

10.The Contractor declares that the subject matter of the Contract shall not be encumbered by any third party rights and that in connection with the execution of the subject matter of the Contract, the Contractor shall not infringe any third party rights.

11.The Contractor shall bear full responsibility for any infringement of the rights of third parties, and in particular, the Contractor shall indemnify the Purchaser against the obligation to pay damages to a third party in connection with the use of the subject matter of the Contract.
